## PART A – ABOUT THESE TERMS

### A1. What These Terms Cover

These Terms of Use and Sales Conditions (“Terms”) are a legally binding agreement between you and CIVARA WORKSHOP. They govern your access to and use of the civaraworkshop.com website (“the Website”), your purchase of any product from CIVARA WORKSHOP through the Website, and all communications, transactions, and legal relationships arising from that use and those purchases.

By accessing or using the Website, or by placing an order through it, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the Website or place any order through it.

### A2. Who We Are

### A3. Other Policies Incorporated Into These Terms

These Terms must be read together with the following policies, which are incorporated by reference and form part of the agreement between you and CIVARA WORKSHOP:

- **Returns, Refunds, Exchanges and Cancellations Policy** – governs your rights and our obligations when an order is cancelled, returned, or disputed

Where there is any conflict between these Terms and another policy listed above, these Terms will prevail unless the other policy expressly states otherwise in relation to a specific matter.

### A4. Changes to These Terms

We may update these Terms from time to time to reflect changes in law, our business practices, or our product offering. When we do so, we will update the “last updated” date at the top of this page. For material changes, we will notify registered customers by email. The Terms in force at the date you place your order are the Terms that apply to that order. We encourage you to review this page before placing each order.

### A5. Eligibility

By using the Website or placing an order, you represent and warrant that:

- You are at least 18 years of age, or if you are between 16 and 18, you have obtained the consent of a parent or legal guardian who agrees to these Terms on your behalf
- You have the legal capacity to enter into a binding contract under the laws of your country of residence
- You are not located in a country subject to applicable export sanctions or trade restrictions that would make receipt of goods from India unlawful
- Where you are placing an order on behalf of an organisation – a monastery, retreat centre, business, or other entity – you have authority to bind that organisation to these Terms

## PART B – WEBSITE TERMS OF USE

### B1. Permitted Use of the Website

You may access and use the Website for the purpose of browsing our products, placing orders, and communicating with us. All other use requires our prior written permission.

### B2. Prohibited Conduct

You must not:

- Use the Website for any unlawful purpose or in a manner that violates any applicable law or regulation
- Attempt to gain unauthorised access to any part of the Website, its servers, or any database or system connected to it
- Introduce any virus, malware, trojan horse, worm, or other harmful or disruptive code to the Website or its infrastructure
- Use any automated tool – including scrapers, crawlers, robots, or data extraction software – to extract content, product data, pricing, or images from the Website without our written consent
- Copy, reproduce, distribute, republish, transmit, or commercially exploit any content from the Website – including product photography, written descriptions, design files, or brand assets – without our prior written permission
- Impersonate CIVARA WORKSHOP, Hilal Ahmad Goona, or any employee, agent, or partner of CIVARA WORKSHOP
- Use the Website in any way that could damage, disable, overburden, or impair it or interfere with any other user’s experience
- Attempt to circumvent any security measure, technical restriction, or access control on the Website
- Engage in any conduct that constitutes harassment, abuse, or harm directed at CIVARA WORKSHOP, its staff, artisans, or other users

### B3. Intellectual Property

All content on the Website – including but not limited to product photographs, illustrations, video content, written descriptions, design files, weave patterns, the CIVARA WORKSHOP brand name, logo, and all other brand assets – is the property of CIVARA WORKSHOP or is used by CIVARA WORKSHOP under licence, and is protected by Indian copyright law (Copyright Act 1957), Indian trademark law (Trade Marks Act 1999), and equivalent intellectual property laws in all applicable jurisdictions.

Nothing in these Terms grants you any right, title, or licence in or to any intellectual property belonging to CIVARA WORKSHOP, except the limited right to access and use the Website for its intended purpose as set out in these Terms.

You may share links to the Website and reference CIVARA WORKSHOP products in non-commercial editorial or personal contexts, provided that you do so accurately, without implying any affiliation or endorsement that does not exist, and without reproducing our photographs, text, or design assets without permission. To request permission for any other use of our intellectual property, contact hello@civaraworkshop.com.

### B4. Third-Party Links

The Website may contain links to third-party websites, including our payment processors, shipping carriers, and platform partners such as Etsy. We provide these links for your convenience only. We do not control third-party websites, do not endorse their content, and are not responsible for their practices or the accuracy of their information. Your use of any third-party website is governed by that website’s own terms and privacy policy.

### B5. Website Availability

We aim to keep the Website available at all times, but we do not guarantee uninterrupted access. The Website may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control. We accept no liability for any loss or inconvenience caused by Website unavailability.

### B6. Accuracy of Information

We make every effort to ensure that product descriptions, images, pricing, and availability information on the Website are accurate and current. However, product photographs are taken under controlled lighting conditions and actual colour may vary slightly on different devices and screens; handloom-woven Pashmina textiles have inherent natural variation in texture, weave density, and colour between production batches, which is described on the Website and is not a defect; and prices are subject to change, with the price displayed at the time of your order confirmation being binding. We correct errors in pricing and product information as soon as we become aware of them. If an error affects your order, we will contact you promptly.

## PART C – SALES CONDITIONS

### C1. Our Products

CIVARA WORKSHOP produces and sells handloom-woven textiles, including Pashmina shawls, meditation scarves and wraps, and monastic robes and ceremonial garments. All products are made to order using Changthangi Pashmina (cashmere) fibre sourced from Ladakh, India, machine-spun into yarn, and woven on traditional handlooms in Srinagar, Jammu and Kashmir, India. Products are not mass-produced. Each item is produced as an individual commission following confirmation of your specifications. Full details of fibre composition, care requirements, and country of origin are set out in our **Product Fibre Composition, Origin and Care** page and on each product’s listing page.

### C2. How a Contract Is Formed Between Us

Placing items in your shopping cart and proceeding to checkout does not constitute a binding order. A binding contract between you and CIVARA WORKSHOP is formed as follows:

1. **You submit your order** by completing the checkout process on the Website and authorising payment via Razorpay or PayPal
2. **We send you an order acknowledgement** by email to the address provided at checkout, confirming that we have received your order and your payment has been authorised. This acknowledgement is not acceptance of your order – it is a confirmation of receipt
3. **We send you a Specification Confirmation Request** within 1 business day, asking you to confirm or provide your custom measurements, colour choice, and any other specifications relevant to your order
4. **You return your confirmed specifications** in writing by email, WhatsApp, or via the form linked in our email
5. **We send you an Order Acceptance and Production Commencement Notice** confirming that your specifications have been received, production is commencing, and your estimated dispatch date. **This notice constitutes our acceptance of your order and the formation of a binding contract.**

A binding contract therefore exists from the moment we send the Order Acceptance and Production Commencement Notice, not from the moment of payment or the order acknowledgement.

If for any reason we are unable to accept your order – for example, because we cannot source the requested fibre weight, your required dimensions are outside our production capacity, or there is a pricing error on the Website – we will notify you promptly and issue a full refund of any payment made. We have no obligation to accept an order simply because payment has been received.

### C3. Specification Confirmation – Your Obligations

You are responsible for providing accurate specifications. CIVARA WORKSHOP will produce your item exactly to the measurements and specifications you confirm in writing. We cannot be responsible for errors in the finished item if those errors arise from inaccurate or incomplete information provided by you.

Before confirming your specifications, please measure carefully and refer to our measurement guidance on the relevant product page; check that the colour description matches your requirement (we recommend requesting a colour swatch if you are uncertain – contact hello@civaraworkshop.com); and review your confirmation email carefully before returning it.

Once we have sent the Order Acceptance and Production Commencement Notice, your specifications are locked and cannot be changed without our written agreement. Changes requested after production has commenced may not be possible and, where possible, may result in additional charges and an extended production timeline.

### C4. Pricing and Currency

All prices on civaraworkshop.com are displayed in **United States Dollars (USD)** as the primary currency, with EUR and GBP display options where configured.

**Indian GST:** All CIVARA WORKSHOP orders shipped outside India are exports and are zero-rated under the Indian Goods and Services Tax (GST) framework, exported under a Letter of Undertaking (LUT ARN: AD010526001074U). No Indian GST is charged to international buyers.

**Destination-country import charges:** For the destinations we ship to, all applicable destination-country import duties and import VAT or GST are calculated and collected at checkout and remitted on your behalf when your order is imported. You will not be asked to pay any further import duty, import VAT, GST, or customs handling fee to the carrier or customs authority on or after delivery. The detailed position, including the United Kingdom (where orders at or below GBP 135 carry no UK VAT) and the United States (which levies no import VAT), is set out in our **Pricing, Taxes, VAT and Import Duties** page. This arrangement governs duties and taxes only and does not change the allocation of risk in Section C7.

**Currency conversion:** If you pay in a currency other than the currency in which the price is displayed, your payment processor (Razorpay or PayPal) will apply its prevailing exchange rate at the time of payment. CIVARA WORKSHOP is not responsible for exchange rate movements or conversion fees charged by your payment processor or card issuer.

**Price changes:** We reserve the right to change prices at any time. The price applicable to your order is the price displayed at the time you submit your order, as confirmed in your order acknowledgement email.

### C5. Payment

Payment is due in full at the time of order submission. We do not offer deferred payment, payment on account, or instalment payment terms for retail orders. Wholesale and institutional buyers should refer to our Wholesale and Institutional Buyer Terms for applicable payment conditions.

We accept international credit and debit cards (Visa, Mastercard, American Express, Diners Club, and other major schemes) processed via Razorpay; UPI, NetBanking, and domestic Indian payment methods processed via Razorpay; PayPal for international buyers who prefer to pay via their PayPal account; and bank transfer via virtual local account for qualifying international orders via the Razorpay MoneySaver Export Account (contact hello@civaraworkshop.com to arrange).

All card payments are subject to **3D Secure (3DS) authentication**. You may be redirected to your card issuer’s authentication page as part of the checkout process. CIVARA WORKSHOP does not store your card details. All payment data is handled exclusively within Razorpay’s and PayPal’s PCI DSS-certified environments. Your order is confirmed only upon successful payment authorisation. If payment authorisation fails, your order will not be processed and you will be invited to attempt payment again or use an alternative method.

### C6. Production Lead Time and Dispatch

Every CIVARA WORKSHOP product is made to order. Production commences when you confirm your specifications in writing, as described in Section C2. Standard production lead time is approximately **26 to 28 days** from the date of specification confirmation. Full details of the production stages, estimated shipping transit times, customs procedures, and your rights in the event of delay are set out in our **Shipping, Delivery and Production Lead Times Policy**, which is incorporated into these Terms.

### C7. Delivery, Risk, and Title

**Risk** of loss and damage to your order passes to you upon delivery of the parcel to the carrier at our premises in Srinagar. This does not affect your statutory rights under applicable consumer law in the event of damage in transit or non-delivery.

**Title** (legal ownership) of your order passes to you upon receipt of payment in full.

**Delivery** is made to the address you provide at checkout. It is your responsibility to ensure that the delivery address is accurate and complete. CIVARA WORKSHOP is not responsible for non-delivery or delay caused by an inaccurate or incomplete address provided by you. Re-routing or re-dispatch fees resulting from an address error are your responsibility.

### C8. Made-to-Order Status and the Withdrawal Right

All products sold by CIVARA WORKSHOP are made to the customer’s individual specifications and are therefore personalised goods. As set out in our **Returns, Refunds, Exchanges and Cancellations Policy** – and as required to be disclosed under EU and UK consumer law – the right of withdrawal that ordinarily applies to distance purchases does not apply once production of your made-to-order item has commenced.

The pre-production cancellation windows and post-delivery remedies for seller error are set out in full in our Returns Policy. By confirming your specifications and receiving the Order Acceptance and Production Commencement Notice, you confirm that you understand and accept this.

### C9. Cancellation by CIVARA WORKSHOP

We reserve the right to cancel an accepted order in the following circumstances: we are unable to source the required fibre, yarn, or colour to your specification within a reasonable timeframe, and you decline to accept an alternative; an event of force majeure (see Section D6) makes fulfilment impossible within any reasonable extended timeframe, and you prefer a refund to waiting; we identify a material error in the product listing price or description that formed the basis of your order, and you decline to proceed at the correct price or on the corrected terms; or there is a reasonable basis to suspect fraud, misrepresentation, or abuse of the ordering process.

In any case of cancellation by CIVARA WORKSHOP, we will notify you promptly and issue a full refund of all amounts paid. We will not cancel orders for reasons of commercial inconvenience.

## PART D – GENERAL LEGAL TERMS

### D1. Consumer Rights – Mandatory Protections

Nothing in these Terms limits, excludes, or modifies any right or remedy that you have under mandatory consumer protection law in your country of residence that cannot be excluded by contract. This includes but is not limited to:

- The consumer guarantees under the **Australian Consumer Law (ACL)** – our goods come with guarantees that cannot be excluded; you are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage
- The statutory rights of consumers in the **European Union** under the Consumer Rights Directive 2011/83/EU and applicable national consumer law
- The statutory rights of consumers in the **United Kingdom** under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013
- The rights of consumers under **Indian consumer law**, including the Consumer Protection Act 2019 and the Consumer Protection (E-Commerce) Rules 2020
- Any equivalent mandatory rights under the laws of **Canada, the UAE, or any other jurisdiction** from which you purchase

The governing law and jurisdiction clause in Section D5 below applies subject to these mandatory protections.

### D2. Disclaimer of Warranties

To the fullest extent permitted by applicable law, CIVARA WORKSHOP provides the Website and its content on an “as is” and “as available” basis without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

CIVARA WORKSHOP makes no warranty that the Website will be uninterrupted, error-free, or free of harmful components; that product descriptions, images, or other content on the Website are complete, accurate, or current (although we make every reasonable effort to ensure they are); or that the Website or any content downloaded from it will be free of viruses or other harmful code. This disclaimer does not apply to any warranty that cannot be excluded under mandatory consumer law in your jurisdiction.

### D3. Limitation of Liability

To the fullest extent permitted by applicable law, CIVARA WORKSHOP’s total liability to you in connection with any order, or your use of the Website, will not exceed the amount you paid for the specific order giving rise to the claim.

CIVARA WORKSHOP will not be liable to you for any loss of profit, revenue, or anticipated savings; loss of business, contracts, or opportunity; loss of data or damage to software or systems; or any indirect, special, incidental, or consequential loss or damage arising from or in connection with your use of the Website or any order placed through it, even if CIVARA WORKSHOP has been advised of the possibility of such loss.

This limitation of liability does not apply to death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited or excluded under mandatory consumer law in your jurisdiction.

### D4. Indemnity

You agree to indemnify, defend, and hold harmless CIVARA WORKSHOP and its proprietor, employees, agents, and contractors from and against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising from your breach of these Terms; your violation of any applicable law or the rights of any third party through your use of the Website; or any inaccurate information you provide to us (including inaccurate specifications provided for a custom order).

### D5. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from or in connection with them – including non-contractual disputes – are governed by the laws of India, without regard to its conflict of law provisions.

Subject to the mandatory consumer protections described in Section D1, you and CIVARA WORKSHOP submit to the exclusive jurisdiction of the courts of Srinagar, Jammu and Kashmir, India, for the resolution of any dispute arising from these Terms or any order placed through the Website.

**Mandatory consumer protections:** Where you are a consumer purchasing from a country whose laws give you the right to bring proceedings in your home courts or to have mandatory consumer protections applied regardless of a governing law clause – as is the case for consumers in the European Union (under the Rome I Regulation), the United Kingdom, Australia, and certain other jurisdictions – nothing in this clause prevents you from invoking those rights. The choice of Indian law and Indian jurisdiction does not deprive you of any protection afforded by the mandatory rules of the law of your country of habitual residence.

### D6. Force Majeure

CIVARA WORKSHOP will not be liable for any failure or delay in performing its obligations under these Terms – including production, dispatch, or delivery – where such failure or delay arises from circumstances beyond our reasonable control. Such circumstances include but are not limited to natural disasters, floods, earthquakes, severe weather, or other acts of God; civil unrest, armed conflict, terrorism, or government-imposed restrictions; strikes, industrial action, or labour disputes affecting carriers or supply chains; pandemic, epidemic, or public health emergency and related governmental measures; disruption to power, telecommunications, or internet infrastructure; failure or delay of third-party carriers or customs authorities; and shortage or unavailability of raw Pashmina fibre due to extreme weather in the Changthang plateau of Ladakh.

In the event of a force majeure event affecting your order, we will notify you within 5 business days of becoming aware of the event and its likely impact on your order; provide a revised production and dispatch estimate where possible; and offer you the choice to continue your order under the revised timeline or cancel your order for a full refund. If a force majeure event continues for more than **60 consecutive days**, either party may cancel the relevant order on written notice, and CIVARA WORKSHOP will issue a full refund within 7 business days.

### D7. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be deemed severed from the remainder of these Terms, and the remainder will continue in full force and effect.

### D8. Entire Agreement

These Terms, together with the policies incorporated by reference in Section A3, constitute the entire agreement between you and CIVARA WORKSHOP in relation to your use of the Website and the purchase of our products. They supersede all prior communications, representations, and agreements between us on the same subject matter, whether written or oral.

No representation made by CIVARA WORKSHOP in any marketing material, product description, or conversation – whether by email, WhatsApp, or otherwise – forms part of the contract between us unless it is expressly incorporated into these Terms or confirmed in writing as a contractual commitment in your Order Acceptance and Production Commencement Notice.

### D9. Variation

No variation of these Terms is effective unless made in writing and signed by or on behalf of CIVARA WORKSHOP. A revision to the published Terms on the Website applies only to orders placed after the date of that revision.

### D10. Waiver

A failure by CIVARA WORKSHOP to exercise or enforce any right under these Terms at any time does not constitute a waiver of that right and does not prevent CIVARA WORKSHOP from exercising or enforcing that right at any later time.

### D11. Assignment

You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without our prior written consent. CIVARA WORKSHOP may assign its rights and obligations under these Terms to a successor business entity, provided that such assignment does not adversely affect your rights under an existing order.

## PART E – MARKETPLACE ORDERS AND PLATFORM-SPECIFIC TERMS

### E1. Orders via Etsy

If you place an order through CIVARA WORKSHOP’s Etsy shop at **<https://www.etsy.com/shop/CivaraWorkshop>** rather than directly through civaraworkshop.com, your purchase is governed by Etsy’s Terms of Use and Etsy’s Purchase Protection programme, which apply to all transactions on the Etsy platform, and by CIVARA WORKSHOP’s shop policies as published on our Etsy listing pages, which mirror the substance of the policies on this website.

The Terms on this page govern only orders placed directly on civaraworkshop.com. However, our production, returns, and shipping policies – and the legal framework for made-to-order goods – apply consistently across all channels.

**Fee avoidance:** Etsy’s Terms of Use prohibit directing buyers who discovered CIVARA WORKSHOP through Etsy to purchase the same item through civaraworkshop.com or any other channel in order to avoid Etsy’s fees. We comply with this rule. This Website exists as an independent direct-to-consumer channel and is not used to circumvent Etsy’s platform fees.

### E2. Orders via Faire

Wholesale orders placed through the Faire platform are subject to Faire’s Seller Agreement and Faire’s buyer terms, including Faire’s 60-day return policy for wholesale buyers. These terms take precedence over the consumer-facing Returns Policy on this website for Faire-originated wholesale orders. Please refer to our **Wholesale and Institutional Buyer Terms** for the full framework governing wholesale relationships.

## PART F – WHOLESALE AND INSTITUTIONAL BUYERS

This section applies to monasteries, retreat centres, yoga studios, academic institutions, retailers, and any other buyer purchasing for commercial or institutional purposes rather than personal use.

Wholesale and institutional buyers are subject to the **Wholesale and Institutional Buyer Terms** published separately on this website, which supplement and take precedence over these Terms in the event of any conflict for wholesale orders. Key additional terms for wholesale buyers include minimum order quantities, extended production lead times, payment terms, and the returns framework applicable to bulk orders.

## PART G – DISPUTES AND GRIEVANCES

### G2. Informal Resolution

Before initiating any formal legal proceedings, we ask that you contact us at hello@civaraworkshop.com and give us the opportunity to resolve your concern informally. In our experience, the great majority of issues – including delivery delays, specification questions, and payment queries – can be resolved quickly through direct communication.

### G3. Formal Dispute Resolution

If informal resolution is not achieved, Indian buyers may approach the appropriate District Consumer Disputes Redressal Commission or the National Consumer Helpline (consumerhelpline.gov.in / 1915); EU buyers may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr; UK buyers may contact their local Trading Standards office or Citizens Advice; and all buyers retain the right to bring proceedings before the competent courts in their jurisdiction, subject to the governing law clause in Section D5 and the mandatory consumer protections described in Section D1.
